Annual Returns
Annual Returns (Forms 363a or 363s) are those which, as the name
suggests, must be submitted to Companies House each and every year.
These forms provide Companies House with a snapshot of general information
regarding the company.
As is the case with other filing for Companies House, these forms
must be delivered/filed on time or the company directors will be
prosecuted, as well as the company secretary. These annual
returns must be filed within 28 days of the company's made-up date,
which is either the anniversary of the incorporation of the company
or the made-up date of the previous Annual Return.
Companies House tend to send these forms out to companies roughly
two weeks before their made-up date, leaving little time for completion

Annual Returns filled in properly always contain important company
information, such as their:
- Name;
- Registered number;
- Company type;
- Registered office address;
- Address where certain company registers are kept (if not at
the registered office);
- Principal business activities;
- Company secretary's name and address;
- Directors' names, usual residential addresses, dates of birth,
nationalities and business occupations; and
- Made-up date.
If a company has share capital, the Annual Return must also contain
the following information:
- The nominal value of total issued share capital; and
- The names and addresses of shareholders and the number and type
of shares they hold or transfer from other shareholders.
As with other accountancy and taxation forms, Annual
Returns are difficult to complete if people do not have the necessary
